Luxemburg, 18. März 2015 - Grand City Properties S.A. (die "Gesellschaft",
"GCP") hat die Ergebnisse für das Geschäftsjahr 2014 veröffentlicht. Die
vorgelegten Zahlen spiegeln die hervorragende operative Entwicklung wider,
die auf kontinuierlichen internen Verbesserungen, Portfolio-Wachstum und
der soliden Finanzlage infolge der unternehmerischen sowie finanziellen
Erfolge basieren.
Portfolio-Wachstum durch operative Erfolge
Der Immobilienbestand der Gesellschaft erhöhte sich von 26.000 Einheiten im
Dezember 2013 auf 43.000 Einheiten im Dezember 2014 (+ 65 %) und auf 52.000
Einheiten im März 2015. Das Portfolio ist gut diversifiziert und bietet
vielversprechende Turnaround-Möglichkeiten für die Zukunft.
Im Jahresverlauf 2014 hat sich der stabilisierte Anteil des Portfolios von
33 % auf 40 % erhöht und wuchs weiter auf 43 % bis März 2015.
Darüber hinaus erzielte GCP eine hohe Steigerung des bereinigten EBITDA von
106 % bei ausgewogenen Modernisierungs- und Instandhaltungsinvestitionen in
Höhe von 13,8 EUR pro m².
Finanzielle Erfolge reduzieren Fremdkapitalkosten deutlich
GCPs solide Finanzlage schlägt sich in einer Zinsdeckungsrelation von mehr
als 5 (bereinigtes EBITDA / Zinszahlungen) und einem
Kapitaldienstdeckungsgrad von 4 (bereinigtes EBITDA / Zinsen+Kredittilgung)
im Geschäftsjahr 2014 nieder. Aufgrund ihrer finanziellen und operativen
Verbesserungen erhielt die Gesellschaft Investment-Grade-Ratings der
Bewertung Baa2 von Moody's (Februar 2015) und BBB- von S&P (November 2014).
Durch erfolgreiche Platzierungen von Anleihen und Wandelanleihen, die
Refinanzierung von Bankdarlehen zu besseren Konditionen sowie der
frühzeitigen Rückzahlung der Anleihe Serie B lagen die Fremdkapitalkosten
von GCP im Geschäftsjahr 2014 bei niedrigen 2 %. Darüber hinaus wurden im
abgelaufenen Geschäftsjahr 10 % der Wandelanleihe der Serie C in
Eigenkapital umgewandelt, ausgelöst durch den Anstieg des Aktienkurses, der
gegenwärtig 66 % über dem Wandlungspreis liegt. Des Weiteren hat GCP die
Ausschüttung einer Dividende von 30 % der FFO I angekündigt.
Anhaltend hohe operative Profitabilität mit weiterem Potenzial zur
Entfaltung
Die operativen und finanziellen Ergebnisse der Gesellschaft sind ablesbar
an den FFO I in Höhe von 76 Mio. EUR bzw. 0,66 EUR pro Aktie. Allein im
vierten Quartal 2014 beliefen sich die FFO I auf 23 Mio. EUR, was einem
vierteljährlich annualisierten FFO von 92 Mio. EUR entspricht.
Die Erfolge im abgelaufenen Geschäftsjahr werden zusammen mit den jüngsten
Akquisitionen ihr volles Potenzial im Geschäftsjahr 2015 entfalten. Dies
zeichnet sich teilweise in den auf das Jahr hochgerechneten (monatlich
annualisierten) Miet- und Betriebseinnahmen vom März 2015 von 280 Mio. EUR
und FFO I (monatlich annualisiert) von 102 Mio. EUR bzw. 0,84 EUR pro Aktie
ab.
Außerdem besitzt GCP eine hohe finanzielle Flexibilität, mitunter
Zahlungsmittel in Höhe von 270 Mio. EUR zum Jahresende 2014, die durch die
kürzlich erfolgte Emission endloser Hybridpapiere im Volumen von 400 Mio.
EUR in 2015 sowie unbelastete Vermögenswerte in Höhe von 1,45 Mrd. EUR
(Stand März 2015) zusätzlich unterstützt wird.

Successfully placed perpetual hybrid Notes EUR 120 million
12 February 2015.
Grand City Properties S.A. (the "Company") announces today successful
private placement of EUR 120 million, in aggregate principal amount of
perpetual hybrid notes with a coupon of 3.75% (the "Notes").
The Notes are in denominations of EUR 100,000 and were exclusively offered
to institutional investors at issue price of 96.3%, and will be traded in
the Irish Stock Exchange on its regulated market. Settlement is expected to
take place on February 18, 2015.
The Company intends to use the amount raised in the issue of the Notes to
fund the Company's acquisitions growth strategy.

Grand City Properties S.A. (the "Company") announces today that the Board
of Directors resolved a dividend policy according to which 30% of the
Company's funds from operations ("FFO I") shall be distributed as dividends
to the shareholders.
Furthermore, the Board of Directors is considering, subject to market
conditions, issuing additional fixed-rate long term bonds and/or hybrid
bonds, (the "Bonds") with the purpose of using any proceeds to fund the
Company's growth strategy.

Grand City Properties rating increased to investment grade 'BBB-' by S&P
Standard & Poor's Ratings Services ("S&P") raised Grand City Properties
S.A. ("GCP" or the "Company") rating from 'BB+' to investment grade rating
'BBB-' on its long-term corporate credit rating and on the Company's
convertible and straight bonds.
The upgrade reflects S&P's view that GCP's business profile has improved
due to its increased focus on managing a stabilized portfolio of
income-producing properties, its increased portfolio size of about EUR2.2
billion, and its greater geographical spread across densely populated
regions in Germany. S&P mentioned that GCP increased its geographic
presence across Germany and mostly operates in favourable regions with good
rental growth prospects and where demand continues to outpace supply from
new property developments.
S&P revised upward GCP's business profile due to the Company's property
portfolio growth to 43,000 units and due to the good asset and tenant
diversity. S&P acknowledged GCP's good track record in acquiring affordable
housing blocks that have below-market rents and high vacancies, and
successfully lifting occupancy and rent levels.
S&P revised upward their financial projections for 2014-2015, taking into
account GCP's recent acquisitions, refinancing activities, and its lower
average cost of debt.
S&P has maintained the stable outlook based on the steady tenant demand in
GCP's locations which effect rental income growth.

OF OUTSTANDING SERIES B BONDS
19 November 2014.
Grand City Properties S.A. (the "Company") announces that it has resolved
to exercise its right to redeem the outstanding EUR 350 million 6.25 per
cent. senior secured series B bonds due 2020 (the "Series B Bonds") in
accordance with the terms and conditions of the Series B Bonds and a formal
notice to this effect will be sent today to the holders of the Series B
Bonds.
As at today's date, the principal amount of the Series B Bonds outstanding
is EUR18,167,000, which represents 5.2% of the principal amount of the
Series B Bonds originally issued.
The outstanding Series B Bonds will be redeemed at their principal amount
on 5 January 2015 (together with accrued and unpaid interest to that date).

Luxemburg, 17. November 2014 - Grand City Properties S.A. hat den
Wachstumskurs im dritten Quartal 2014 konsequent fortgesetzt. Dies führte
in den ersten neun Monaten 2014 zu einer deutlichen Steigerung der Miet-
und Betriebseinnahmen um 135 % im Vorjahresvergleich auf 151 Mio. EUR sowie
einer Steigerung der Funds from Operation (FFO I), die im
Vorjahresvergleich um 138 % auf 53 Mio. EUR zulegten.
Der Immobilienbestand der Gesellschaft wuchs in 2014 um weitere 17.000
Einheiten auf insgesamt 43.000 Einheiten im November 2014. Das entspricht
einem Plus von 65 % seit Dezember 2013.
Die auf das Jahr hochgerechneten ("Run rate") Miet- und Betriebseinnahmen
erhöhten sich auf über 245 Mio. EUR und die FFO I Run rate auf 91 Mio. EUR
per November 2014 (pro Aktie: 0,79 EUR).

SUCCESSFULLY PLACES EUR 500 MILLION OF NEW BONDS
24 October 2014.
Grand City Properties S.A. (the "Company") announces today the final
results of its invitation (such invitation the "Offer") to holders of the
Company's outstanding EUR 350 million 6.25 per cent. senior secured series
B bonds due 2020 (the "Series B Bonds") to tender their Series B Bonds for
purchase by the Company.
The Offer was announced on 20 October 2014 and was made on the terms and
subject to the conditions contained in the tender offer memorandum dated 20
October 2014 (the "Tender Offer Memorandum") prepared by the Company in
connection with the Offer. Capitalised terms used but not otherwise
defined in this announcement shall have the meaning given to them in the
Tender Offer Memorandum.
The Expiration Deadline for the Offer was 5.00 p.m. (CET time) on 23
October 2014.
Final Results
As at the Expiration Deadline, the Company had received valid tenders of
EUR 331,833,000 in aggregate principal amount of Series B Bonds for
purchase pursuant to the Offer.
The Company has decided (subject to satisfaction of the New Financing
Condition) to set the Total Purchase Funds Available at EUR 371,880,242.88.
Accordingly, the Company will (subject to satisfaction of the New Financing
Condition) accept for purchase all valid tenders of Series B Bonds in full,
with no scaling.
Subject to satisfaction of the New Financing Condition, the cash purchase
price the Company will pay for Series B Bonds validly tendered and accepted
for purchase will be 109.5 per cent. of the principal amount of the
relevant Series B Bonds, together with all accrued and unpaid interest in
respect of those Series B Bonds.
The Settlement Date in respect of any Series B Bonds accepted for purchase
is expected to be 31 October 2014. Following settlement of the Offer, EUR
18,167,000 in aggregate principal amount of the Series B Bonds will remain
outstanding.
Series D Bonds
In addition, the Company announces the successful placing of EUR 500
million, in aggregate principal amount of new fixed-rate secured bonds, due
2021 with a coupon of 2 per cent. and a price of 95.564% of their principal
amount (the "Series D Bonds"). The offer was over-subscribed.
The New Issue Settlement Date is expected to be 29 October 2014.
The Series D Bonds are in denominations of EUR 100,000 and are exclusively
offered to institutional investors outside the United States, Canada,
Australia, Italy, South Africa, Japan and any other countries in which the
offer and sale of securities is subject to special legal restrictions.
Application will be made to the Irish Stock Exchange for the Series D Bonds
to be admitted to trading on its regulated market.
Purchases of Series B Bonds under the Offer are conditional upon
satisfaction of the New Financing Condition, being the successful
completion (in the determination of the Issuer) of the issue of the Series
D Bonds, as further described in the Tender Offer Memorandum.

Grand City Properties S.A. (the "Company") announces today:
(a) an invitation to holders of the Company's outstanding EUR 350 million
6.25 per cent. senior secured series B bonds due 2020 (the "Series B
Bonds") to tender their Series B Bonds for purchase by the Company (the
"Offer"); and
(b) its intention to issue new fixed-rate secured bonds, at a discount to
their par value, due 2021 with a coupon of 2 per cent. (the "Series D
Bonds").
The Company intends to use some or all of the total amount raised in the
issue of the Series D Bonds to refinance the Series B Bonds under the Offer
and, as such, the Offer is conditional upon the successful completion (in
the determination of the Company) of the issue of the Series D Bonds (the
"New Financing Condition").
The Offer
The Offer is being made on the terms and subject to the conditions
contained in the tender offer memorandum dated 20 October 2014 (the "Tender
Offer Memorandum") prepared by the Company in connection with the Offer and
is subject to the offer restrictions set out below and as more fully
described in the Tender Offer Memorandum. Bondholders are advised to
carefully read the Tender Offer Memorandum for full details of, and
information on the procedures for participating in, the Offer.
Copies of the Tender Offer Memorandum are (subject to distribution
restrictions) available from the Tender Agent as set out below. Capitalised
terms used but not otherwise defined in this announcement shall have the
meaning given to them in the Tender Offer Memorandum.
Pursuant to the Offer, the Company will pay a cash price equal to 109.5 per
cent. of the principal amount of the Series B Bonds accepted by it for
purchase pursuant to the Offer (the "Purchase Price"), together with all
accrued and unpaid interest in respect of those Series B Bonds.
The issue of Series D Bonds
The Company is proposing to issue the Series D Bonds with a seven year term
in principal amounts of EUR100,000 each. The Series D Bonds will be issued
at a discount to their par value and will benefit initially from the same
security package as the Company's existing secured bonds. The security
package will be released once all of the Company's obligations in relation
to the Company's existing secured bonds have been discharged and the
Company has been assigned an investment grade credit rating by a rating
agency. The terms and conditions of the Series D Bonds will also include a
new covenant package.
The interest rate applicable to the Series D Bonds will be increased by an
additional 0.5 per cent. per annum in the event that the Company is not
assigned an investment grade credit rating by a rating agency by 30
November 2015.
The Series D Bonds are expected to be issued by the Company on or about 29
October 2014. The Series D Bonds are intended to be admitted to the
official list of the Irish Stock Exchange for trading on its regulated
market after issue.
Irrevocable undertakings
Irrevocable Undertakings dated 16 October 2014 have been received by the
Company in respect of EUR104,868,000 in aggregate principal amount of
Series B Bonds, beneficially held by one or more Series B Bondholders
representing 29.96 per cent. of the outstanding Series B Bonds (the
"Irrevocable Undertakings"). Under the terms of the Irrevocable
Undertakings:
(a) the relevant Series B Bondholders have undertaken to: (i) participate
in, or procure participation in, the Offer by tendering their holdings of
Series B Bonds to the Company at the Purchase Price; and (ii) subject to
the final pricing of the Series D Bonds, place Firm Orders to subscribe for
Series D Bonds at a subscription amount (the "Subscription Amount"), with a
cash amount required to subscribe for the Subscription Amount of
EUR165,000,000;
(b) the Company has committed to accept and purchase from the relevant
Series B Bondholders under the Offer a principal amount of Series B Bonds
such that the Purchase Price payable by the Company for such Series B Bonds
under the Offer equals the lower of: (i) the Purchase Price that would be
payable in respect of all Series B Bonds tendered by the relevant Series B
Bondholders; and (ii) the cash amount required to subscribe for the
Subscription Amount, subject to increase or decrease (at the sole
discretion of the Company) to the nearest EUR1,000; and
(c) the Company has a call option enabling it to purchase (at the Purchase
Price) the Series B Bonds tendered but not purchased from the relevant
Series B Bondholders in accordance with (b) above, such option to be
exercisable for a period of 10 Business Days following the Tender Offer
Settlement Date.
Scaling of Series B Bonds
The final cash amount that the Company undertakes to accept for purchase
pursuant to Irrevocable Undertakings, the Preferred Offers (as defined
below) and, in its sole discretion, decides to apply to the Offer will be
the "Total Purchase Funds Available".
If the Company accepts any Series B Bonds for purchase pursuant to the
Offer, the Company intends to accept for purchase Series B Bonds validly
tendered for purchase pursuant to the Offer in the following order:
(a) first, Series B Bonds validly tendered for purchase pursuant to the
Irrevocable Undertakings and required to be accepted for purchase by the
Company will be accepted for purchase in full;
(b) second, Series B Bonds validly tendered for purchase by a Series B
Bondholder who has not signed an Irrevocable Undertaking but who, in
addition to submitting a valid Tender Instruction, has also placed a Firm
Order for Series D Bonds with the Dealer Manager and the Company has
accepted such Firm Order (being a "Preferred Offer") will be accepted for
purchase and, if the Purchase Price payable in respect of all Preferred
Offers exceeds the remaining Total Purchase Funds Available after deducting
the amount required for (a) above, such Preferred Offers will be accepted
on a pro-rata basis as described in the Tender Offer Memorandum; and
(c) third, if the Purchase Price payable in respect of Series B Bonds: (i)
validly tendered for purchase and accepted pursuant to the Irrevocable
Undertakings; and (ii) validly tendered for purchase and accepted pursuant
to the Preferred Offers does not exceed the Total Purchase Funds Available,
the Company may accept, in its sole discretion, Series B Bonds validly
tendered other than pursuant to the Irrevocable Undertakings or Preferred
Offers. Such tenders may be subject to pro rata scaling to ensure that the
total Purchase Price payable in respect of all Series B Bonds accepted for
purchase does not exceed the Total Purchase Funds Available, as described
in the Tender Offer Memorandum.
Allocation of Series D Bonds
The Company intends that Series B Bondholders who have submitted valid
Tender Instructions in respect of some or all of their holding of Series B
Bonds and have also placed Firm Orders with the Dealer Manager (including a
spread for the issue of the Series D Bonds which is lower or equal to the
final pricing spread for the Series D Bonds) shall receive a "New Issue
Priority", being an allocation from the Issuer under the Series D Bonds of
an amount equal to the lower of:
(a) the Purchase Price for the Series B Bonds validly tendered by such
Series B Bondholder; and
(b) the cash amount required to subscribe for the Series D Bonds which are
the subject of the relevant Firm Orders for Series D Bonds.
In the event that Series B Bondholders place Firm Orders with the Dealer
Manager with an individual spread higher than the final pricing spread for
the Series D Bonds, then the Company shall not be obliged to offer such
Series B Bondholder any New Issue Priority in respect of the Series D Bonds
and/or to accept and purchase the Series B Bonds validly tendered.
Clean-up redemption option
If the Company accepts for purchase pursuant to the Offer and/or otherwise
acquires 80 per cent. or more in aggregate principal amount of the Series B
Bonds, the Company may exercise its right under the terms and conditions
of the Series B Bonds to acquire compulsorily the remaining Series B Bonds
at a price equal to 100 per cent. of the principal amount of such Series B
Bonds (and therefore on less favourable terms than the Offer).
Tender Instructions
In order to participate in the Offer, Series B Bondholders must validly
tender some or all of their Series B Bonds by delivering, or arranging to
have delivered on their behalf, a valid Tender Instruction that is received
by the Tender Agent by 5.00 p.m. (CET) on 23 October 2014.
Tender Instructions will be irrevocable except in the limited circumstances
described in the Tender Offer Memorandum.
Tender Instructions must be submitted in respect of a minimum principal
amount of Series B Bonds of no less than EUR1,000, being the minimum
denomination of the Series B Bonds and may be submitted in integral
multiples of EUR1,000 thereafter. Tender Instructions submitted in
denominations other than EUR1,000 or integral multiples of EUR1,000
thereafter will not be eligible for participation in the Offer.
To be eligible to receive a New Issue Priority, a Series B Bondholder must:
(a) submit a valid Tender Instruction in accordance with the procedures set
out in the Tender Offer Memorandum;
(b) contact the Dealer Manager to register its interest; and
(c) make an application to the Dealer Manager (in its capacity as manager
of the issue of the Series D Bonds) for the purchase of the Series D Bonds
in accordance with the standard new issue procedures of the Dealer Manager.

receive instructions from a Series B Bondholder in order for that Series B
Bondholder to be able to participate in, or (in the limited circumstances
in which revocation is permitted) revoke their instruction to participate
in, the Offer before the deadlines specified in the Tender Offer
Memorandum. The deadlines set by any such intermediary and each Clearing
System for the submission of Tender Instructions will be earlier than the
relevant deadlines specified above.
